LICENSE TERMS

This Agreement (“Agreement”) sets forth the terms and conditions under which the Recording is licensed to you (“Licensee”) by WaveToys (“Licensor”).

Definitions
Project: A media project to which Recording is synchronized.
Recording: Refers to the audio content or music track provided by the Licensor.
Standard License: Refers to the license granting usage rights for the Recording as defined in Standard License Section.
Extended License: Refers to the license granting usage rights for the Recording as defined in Extended License Section.
Premium License: Refers to the license granting the broadest usage rights for the Recording as defined in Premium License Section.
Membership: Refers to the membership tier, such as All Access Membership or legacy tiers (Influencer, Content Creator, Videographer), which includes specific usage permissions and restrictions as defined in the Memberships Section.

WaveToys hereby grants you a non-exclusive, non-transferable license, valid in perpetuity, to use the Recordings in the following applications:

Standard License
The Standard License grants the Licensee the following rights:

Web Usage: Use of the Recording in Projects on the web, including both Non-Commercially and Commercially Distributed Projects, such as online streaming (YouTube, Vimeo), websites, social media, web advertising (including pre-roll advertising), podcasts, corporate videos, and videos/slideshows sold to third parties for non-commercial use (e.g., wedding videos).

Extended License
The Extended License grants the Licensee everything from the Standard License as well as:

Nationwide Advertisement: Use of the Recording in an advertisement distributed in a single nation-wide territory on television (broadcast, cable, or on-demand), radio, indie and student films, video games and apps, and out-of-home (e.g., digital billboards).
Point of Sale Locations such as shopping malls, point of sale systems, in-store displays, showroom videos, trade shows, industrial fairs, exhibitions, within a single nation territory.

Premium License
The Premium License grants extensive usage rights, including everything from the Standard and Extended License, as well as:

Commercially distributed projects, international advertising on television, radio, and out-of-home media, International point-of-sale locations, theatrically released films, Point-of-Sale Locations (International); Use of the Recording in point-of-sale locations internationally, including shopping malls, point-of-sale systems, in-store displays, showroom videos, trade shows, industrial fairs, and exhibitions – worldwide.

Memberships

Creator Subscription

This membership tier resembles the terms of the Standard License and is available through monthly or yearly subscriptions. During the term of your subscription, which is either 31 days for the monthly subscription or 365 days for the yearly subscription, you have the right to use the Recordings in the following applications:

However, please note that any projects containing the Recordings must be published within the subscription period. Upon expiration or termination of your subscription, the use of Recordings in new projects must cease.

Legacy membership tiers
Legacy subscription tiers All Access Membership, Influencer, Content Creator, Videographer include the rights of the Premium License and are available through monthly or yearly subscriptions. During the term of your subscription, which is either 31 days for the monthly subscription or 365 days for the yearly subscription, you have the right to upload and publish any end product containing the Recordings. However, upon expiration or termination of your subscription, the use of Recordings in new projects must cease.

Limitations and Restrictions
The Licensee may not:
Sell, transfer, sublicense, share, give away, or otherwise assign the Recordings or rights granted hereunder to any other party.
Resell the Recording as a standalone product or part of a package, except solely as embodied within their Project.
Make the Recording available for separate file download, such as in e-card templates or website templates, or enable a third party to download the Recording as a separate file.
Resell the Recording or make it available as part of any competing product, such as music compilations or music libraries.
Sell the Recording as, or as part of, their own music or song, even if it has been transformed or edited, or if they add other instruments or vocals to the music.
Claim to be the creator or copyright holder of the Recording or any derivative work created from the Recording.

P.R.O. (Performance Rights Organizations)
For music recordings broadcasted in public venues, on radio, or TV, it is imperative that cue sheet files are filled out accurately. It is important to note that these Performance Royalties are not to be paid by you or your organization; instead, they are the responsibility of the networks that broadcast the music.

Term and Termination
This Agreement shall remain in effect for the duration specified in the membership or license purchased by the Licensee.
The Licensor reserves the right to terminate this Agreement in the event of a breach by the Licensee. Upon termination, all rights granted under this Agreement shall cease.

Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Croatia. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in Croatia.

Limitation of Liability
WaveToys makes no warranty or representation, express or implied, except that it warrants that it has the right to grant the license granted hereunder. The total liability of WaveToys under this Agreement arising from your use of any Recording shall be limited to the license fee paid by you for such Recording. You hereby agree that this license is granted to you without any other warranty or recourse.
